These Terms of Service ("Terms") form a legally binding agreement between you (an individual user or a legal entity you represent, "you" or "Customer") and LedgerHub Technologies Pvt. Ltd. ("LedgerHub", "we", "our", or "us") governing your access to and use of the LedgerHub platform, including our web application, iOS app, Android app, and all associated APIs and services (collectively, the "Service"). Please read these Terms carefully before using the Service.

1. Acceptance of Terms

By creating a LedgerHub account, clicking "I Agree", or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (incorporated herein by reference). If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity. If you do not agree to these Terms, you must not use the Service.

2. Description of Service

LedgerHub is a cloud-based business management platform designed for Indian small and medium enterprises. The Service is available through:

• Web application: accessible at ledgerhub.cloud via any modern browser.
• iOS application: available on the Apple App Store for devices running iOS 15.0 or later.
• Android application: available on the Google Play Store for devices running Android 8.0 or later.

The Service includes GST-compliant invoicing and billing, double-entry accounting, inventory management, purchase order management, financial reporting, and GST return preparation features. We reserve the right to modify, add, or remove features at any time, and will provide reasonable advance notice of changes that materially reduce functionality.

3. Account Registration and Security

To use the Service, you must create an account by providing accurate, complete, and current information including your name, business name, email address, and GSTIN (where applicable). You agree to:

• Keep your login credentials — especially your password — confidential and not share them with any third party.
• Notify us immediately at support@ledgerhub.cloud if you suspect any unauthorised access to your account.
• Be solely responsible for all activity that occurs under your account, whether or not authorised by you.
• Enable multi-factor authentication on your account. We strongly recommend this and may require it for accounts with elevated data access.

You may invite team members or accountants to access your account under role-based permissions. You are responsible for the actions of all users you grant access to your account.

4. Subscription Plans and Billing

LedgerHub offers the following subscription plans (pricing excludes GST):

All prices are in Indian Rupees (INR). GST at 18% is charged separately on all subscription fees and will appear on your tax invoice. Annual plans are billed upfront for the full year. Month-to-month options may be available at a higher per-month rate; contact us for details.

Subscription fees are processed through our payment partner, Razorpay. By subscribing, you authorise LedgerHub to charge your chosen payment method for the applicable subscription fee plus GST on each renewal date. You will receive a GST-compliant tax invoice for every charge. If a payment fails, we will retry the charge for up to 7 days and notify you by email before suspending access to the Service.

5. Cancellation and Refund Policy

You may cancel your subscription at any time through your account Settings or by contacting support@ledgerhub.cloud. The following terms apply:

• Right to cancel: you may cancel at any time with no penalty. Cancellation takes effect at the end of your current billing period, and you retain full access to the Service until that date.
• Annual plans — prorated refund: if you cancel an annual Business or Enterprise plan after the first 30 days, you are eligible for a prorated refund of the unused months remaining in your subscription year. Refunds are calculated from the date of your cancellation request and processed within 7 business days to your original payment method.
• 30-day money-back guarantee: if you are not satisfied with the Service for any reason, you may request a full refund within 30 days of your first paid subscription date. No questions asked. This guarantee applies to first-time subscribers only.
• Data after cancellation: after cancellation, your account enters a 90-day read-only grace period during which you may export your data. After 90 days, your data will be permanently deleted unless you reactivate your subscription.

6. Acceptable Use Policy

You agree to use the Service only for lawful business purposes. You must not:

• Use the Service to generate fraudulent invoices, evade taxes, or violate any provision of the GST Act, Income Tax Act, or any other applicable Indian law.
• Attempt to reverse-engineer, decompile, or disassemble any part of the platform, or access the Service by any means other than the interfaces we provide.
• Use automated scripts, bots, or scrapers to access the Service without our prior written consent.
• Upload or transmit viruses, malware, or any code designed to disrupt or damage the platform or other users' data.
• Resell or sublicense access to the Service to any third party without a formal reseller agreement with LedgerHub.
• Misuse or circumvent any security measures, rate limits, or access controls implemented in the Service.

We reserve the right to suspend or terminate accounts that violate these policies, without prior notice where necessary to protect the integrity of the platform or the interests of other users.

7. Intellectual Property

LedgerHub's property: the LedgerHub platform, software, algorithms, user interface, design, trademarks, logos, and all technology underlying the Service are the exclusive property of LedgerHub Technologies Pvt. Ltd. and are protected by Indian and international intellectual property laws. These Terms do not grant you any ownership interest in the platform. Your subscription gives you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your internal business purposes during the subscription term.

Your data: you own all business data you create, upload, or import into LedgerHub, including invoices, customer records, financial statements, and inventory data. We do not claim any ownership over your business data. By using the Service, you grant us a limited licence to process and store your data solely to provide the Service to you. We will never use your business data for purposes other than operating and improving the Service, as described in our Privacy Policy.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available". We make no warranty that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
• LedgerHub is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, even if we have been advised of the possibility of such damages.
• Our total cumulative liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the total amount you paid to LedgerHub in the 12 months preceding the claim.
• LedgerHub is a tool to assist with GST compliance but is not a substitute for professional tax advice. We are not liable for any tax penalty, interest, or legal consequence arising from errors in data you enter or from changes in tax law after the date of a software update.

9. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India. Before initiating any legal action, both parties agree to attempt to resolve the dispute through good-faith negotiation for a period of at least 30 days.

10. Modifications to These Terms

We may update these Terms from time to time. We will provide at least 14 days' notice of material changes by email and by displaying a notice in the Service. If you continue to use the Service after the effective date of the updated Terms, you agree to be bound by the revised Terms. If you do not agree to the changes, you may cancel your subscription before the effective date and receive a prorated refund as described in Section 5.
